These terms set out the basis on which ON AI provides automation, consulting, training and support services.
About these terms
ON AI is an AI automation agency based in Kenmare, Co. Kerry, Ireland. These website terms apply to your use of onai.ie. Where you engage us for paid services, the proposal, statement of work or order we agree with you will also apply. If there is a conflict, the signed proposal or statement of work takes priority.
By using this website, submitting an enquiry or booking a call, you agree to use the site lawfully and not attempt to interfere with its security or operation.
Our services
We provide services including automation audits, workflow design and implementation, AI assistants, integrations, training and ongoing support. The exact scope, deliverables, assumptions and timetable will be stated in your proposal or statement of work.
Timelines are estimates unless expressly agreed as fixed. They may depend on timely access to information, accounts, approvals and third-party platforms.
AI and automation systems can produce unexpected results. We design and test systems for the agreed use case, but you remain responsible for appropriate human review of important decisions, customer communications, financial data and regulated activities.
Quotes, fees and payment
Initial calls may be offered without charge. Paid work begins only after scope and pricing are agreed. Unless stated otherwise, quotations are valid for 30 days and exclude work outside the described scope.
Payment stages, due dates and any recurring charges will be shown in the applicable proposal or invoice. Late payment may delay delivery or support. Reasonable third-party software, licence or usage costs are payable by the client where disclosed and agreed.
Changes to scope may require a revised quote, timeline or separate approval.
Your responsibilities
You agree to provide accurate information, timely feedback and the access reasonably required to complete the work. You are responsible for:
- Ensuring you have authority to give us access to relevant systems and data.
- Using the delivered systems lawfully and in accordance with applicable data protection, employment, consumer and sector-specific requirements.
- Maintaining appropriate account security, backups and internal access controls.
- Reviewing outputs before relying on them for material business decisions.
- Obtaining any notices, consents or permissions required for your own customers, staff or suppliers.
Third-party platforms
Automations often depend on services operated by third parties, such as Microsoft, Google, Xero, email, CRM or messaging providers. Their availability, pricing, interfaces and terms are outside our control and may change.
We are not responsible for outages, restrictions or changes made by third-party providers. If a provider change affects an automation, any remediation outside the agreed support scope may be quoted separately.
Intellectual property and confidentiality
Each party retains ownership of materials, systems and intellectual property it owned before the project. Unless a proposal states otherwise, once all agreed fees are paid, you may use the client-specific workflows, configurations and documentation created for you.
ON AI retains ownership of its general methods, know-how, reusable components, templates and tools. Third-party software remains subject to its provider’s licence terms.
Each party will treat non-public business, technical and commercial information received from the other as confidential and use it only for the agreed work, except where disclosure is required by law.
Cancellation and termination
Cancellation terms for a project or recurring service will be stated in the relevant proposal. Either party may end an engagement where the other commits a serious breach and does not remedy it within a reasonable period after written notice.
Fees for work already completed, committed third-party costs and any agreed cancellation charges remain payable. On termination, we will provide a reasonable handover of client-owned materials once outstanding fees are paid.
Warranties and liability
We will provide services with reasonable skill and care. Except where the law does not allow it, we do not guarantee uninterrupted operation, particular financial results, search rankings or that every error can be prevented.
Neither party will be liable for indirect or consequential loss, loss of profit, loss of opportunity or loss caused by matters outside its reasonable control. Any specific liability cap or additional protection will be stated in the applicable proposal.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation.
Governing law
These terms and any non-contractual dispute arising from them are governed by the laws of Ireland. The Irish courts will have jurisdiction, unless applicable consumer law requires otherwise.
